thewaoyl provides legal services in three practice areas: property and land title due diligence, corporate governance and compliance review, and international trade and cross-border advisory. Each engagement is governed by a specific Engagement Agreement that outlines the scope, deliverables, timeline, and fees for the services requested.
3.2 Engagement Process
Legal services begin only after both parties have signed an Engagement Agreement. Initial consultations or inquiries do not create an attorney-client relationship. We reserve the right to decline representation for any reason, including conflicts of interest, resource constraints, or matters outside our practice areas.
3.3 Professional Standards
All legal services are provided in accordance with Thai law, Thai Bar Association rules, and professional ethics standards. Our attorneys maintain professional competence through continuing education and stay current with legal developments affecting our practice areas.
3.4 No Guarantee of Results
While we work diligently to achieve favorable outcomes for our clients, we cannot and do not guarantee specific results in any legal matter. Legal outcomes depend on many factors beyond our control, including facts, evidence, applicable law, and decisions by government authorities or other parties.
4. Client Responsibilities
4.1 Information Accuracy
Clients must provide accurate, complete, and truthful information relevant to their legal matter. Failure to provide complete information may affect the quality of our services and outcomes. Clients must promptly notify us of any changes to information previously provided.
4.2 Cooperation and Communication
Clients agree to respond promptly to our requests for information, documents, or decisions. Delays in client response may affect timelines and service delivery. Clients should maintain open communication and raise concerns or questions as they arise.
4.3 Compliance with Law
Clients must not use our services for any unlawful purpose or in violation of Thai law or regulations. We reserve the right to terminate representation if we believe a client is engaging in illegal activity or requesting services that would violate professional ethics rules.
4.4 Payment Obligations
Clients are responsible for paying all fees as specified in the Engagement Agreement. Payment terms, including any deposits or installment arrangements, are outlined in each specific engagement agreement.
5. Fees and Payment
5.1 Fee Structure
Our core services use fixed-fee pricing as stated on our website and in Engagement Agreements. Fees are stated in Thai Baht (฿). Additional services or work outside the agreed scope may result in additional fees, which will be communicated and agreed upon before such work begins.
5.2 Payment Terms
Payment terms are specified in each Engagement Agreement. Generally, a deposit may be required before work begins, with the balance due upon completion of services. Invoices are payable within 30 days unless otherwise agreed in writing.
5.3 Late Payment
Late payments may be subject to interest charges at the rate permitted by Thai law. We reserve the right to suspend services for accounts in arrears and to take legal action to collect unpaid fees.
5.4 Expenses
Fees do not include out-of-pocket expenses such as government filing fees, courier services, or expert consultations unless specifically included in the Engagement Agreement. Such expenses will be billed separately or added to the final invoice.
6. Intellectual Property
6.1 Website Content
All content on the thewaoyl website, including text, graphics, logos, and design elements, is owned by thewaoyl or used with permission. This content is protected by copyright and other intellectual property laws. You may view and print pages for personal, non-commercial use only.
6.2 Work Product
Legal documents, reports, and other work product we create for clients remain the property of thewaoyl until all fees are paid in full. Upon full payment, clients receive a limited license to use the work product for the intended purpose. We retain the right to use anonymized or de-identified information from client matters for internal training or quality improvement purposes.
6.3 Client Materials
Clients retain ownership of all documents and materials they provide to us. By providing materials, clients grant us a limited license to use them for the purpose of providing legal services.
7. Confidentiality
We are bound by attorney-client privilege and professional confidentiality obligations under Thai law and Thai Bar Association rules. We maintain strict confidentiality of all client information and communications, subject only to legal exceptions such as prevention of crime or compliance with court orders.

9. Limitation of Liability

Clients are responsible for obtaining appropriate insurance coverage for their business operations and legal risks. Our services do not replace the need for appropriate insurance protection.
10. Termination
10.1 Termination by Client
Clients may terminate an engagement at any time by written notice. Upon termination, clients remain responsible for fees for services performed up to the termination date, plus any outstanding expenses.
10.2 Termination by Firm
We may terminate representation for reasons including non-payment of fees, client's failure to cooperate, conflicts of interest, or if continuing representation would violate professional ethics rules. We will provide reasonable notice when possible and assist with transition to new counsel if appropriate.
10.3 Effect of Termination
Upon termination, we will return client documents and materials upon request, subject to retention of copies for our records as required by professional rules. Confidentiality obligations continue after termination.
11. Dispute Resolution
11.1 Governing Law
These Terms and all Engagement Agreements are governed by the laws of Thailand. Any disputes arising from our services or these terms shall be subject to the exclusive jurisdiction of the courts of Thailand.
11.2 Informal Resolution
Before initiating formal proceedings, parties agree to attempt to resolve disputes through good-faith negotiation. Either party may request a meeting to discuss concerns and seek mutually acceptable solutions.
11.3 Venue
Any legal proceedings shall be brought in the courts of Chiang Mai Province, Thailand, and parties consent to personal jurisdiction in those courts.
12. General Provisions
12.1 Entire Agreement
These Terms, together with any Engagement Agreement, constitute the entire agreement between the parties regarding the subject matter and supersede all prior or contemporaneous communications and proposals.
12.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
12.3 No Waiver
Failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
12.4 Assignment
Clients may not assign their rights or obligations under these Terms or any Engagement Agreement without our prior written consent. We may assign our rights and obligations with notice to the client.
12.5 Notices
All notices under these Terms must be in writing and delivered by email to the addresses specified in the Engagement Agreement or to [email protected].
13. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be posted on our website with an updated "Last Updated" date. Material changes will be communicated through prominent website notice or direct communication to active clients.
Continued use of our website or services after changes become effective constitutes acceptance of the revised Terms. Existing Engagement Agreements are governed by the Terms in effect at the time of signing, unless amended by mutual written agreement.
